Cross-Border Debt Offerings by Foreign Issuers into Switzerland

by , Pestalozzi et al., Leading Swiss law firms and leading Swiss banks agreed on a joint position in respect of the applicability of Swiss prospectus requirements for crossborder debt securities offerings (other than structured products or instruments that could qualify as units of collective investment schemes) by non-Swiss issuers into Switzerland. This position paper was developed with the participation of Pestalozzi and provides foreign issuers and their banks with a harmonized view on certain so far disputed and debated issues.
